Terms of service
Effective 22 October 2026
1. The service
Junction is a read-only connector. It lets people in your company use Claude, ChatGPT or another supported AI tool to ask questions that are answered from your accounting and project systems. We do not run an AI model, and Junction does not write to, change or delete data in your systems.
Early access. The service is in early access. Features, supported systems and mappings change, some systems are not yet supported, and none is guaranteed to be accurate or available until we have validated it with you. We may limit, change or withdraw early-access features. Unless we agree otherwise in writing, there is no service-level commitment.
Paid plans. While you are on a paid plan we will not materially reduce the core functionality you are paying for during the period you have paid for. The early-access rights above do not apply to that core functionality, though we may still improve, replace or retire individual features and supported systems with reasonable notice.
2. Accounts and your company
- You must be at least 18 and have authority to bind the business you sign up for.
- Keep sign-in details confidential. You are responsible for activity under your accounts and for the people you invite, including the access you give each of them.
- We reach into your systems only to answer questions your people ask, using the read-only credentials you give us, which we keep encrypted and delete when you disconnect a system or close your account.
- Tell us promptly at [email protected] if you suspect unauthorised access.
- If we confirm unauthorised access to your data in our care, we will tell you without undue delay and within 72 hours of confirming it, with what we know and what you can do.
3. Your responsibilities
You promise that:
- you own, or have the right to connect, each system you link, and doing so does not breach your agreements with the system’s vendor or hosting provider (some vendors restrict API access or use by third-party tools);
- you will give us read-only database logins and API credentials, and keep them current;
- you will not connect data you are not permitted to share with a third-party service, and you have checked that your agreement with your AI provider permits sending the results to it;
- you will not use the service to break the law, to access data you are not entitled to see, to probe or attack the service, to overload it, or to build a competing product from it; and
- you will configure access sensibly, including which people can see which systems, data and jobs.
4. Your data
As between us, you own the data in your systems and the questions and answers your people exchange with their AI tools. You give us permission to access and process it only to provide the service to you, as described in our privacy policy. Where we process personal data on your behalf, the data processing terms we provide on request apply. You decide, through roles and permissions, which of your people may see which data, including any payroll or personal records in your systems, and you are responsible for those choices.
We may use anonymous, aggregated usage statistics (for example, counts of requests) to run and improve the service. We will not use your business data to train AI models, and we will not sell it or share it with anyone else for their own purposes. Our providers act only on our instructions.
Leaving. For 30 days after your account closes or these terms end you may ask us for an export of your account data (your company settings, roles and connection details, never your credentials) in a standard format. We then delete your account data within 90 days of closure, except what we must keep for tax and legal reasons, and we will confirm the deletion in writing if you ask.
5. AI output and accuracy
AI tools can misunderstand a question or misread a result. The figures Junction returns come from your own systems through a data model we have built, and our model of a given system may be incomplete or wrong until it has been validated with you. Check important figures against your own reports before relying on them. Junction does not provide accounting, tax, legal, financial or other professional advice, and you remain responsible for decisions you make using it.
6. Third-party services
The service depends on other companies’ products, including your accounting and project systems, your AI tool, and our hosting, authentication and payment providers. We do not control them, their availability or their terms, and we are not responsible for them. Product and company names on our site are trademarks of their owners; we are not affiliated with or endorsed by them.
7. Fees and trials
While we are launching, you may sign up and use the service without charge and without a usage limit. That is an introductory arrangement, not a promise: we may end it, or introduce limits or paid plans, at any time, and we will tell you before a charge applies to your account. Our prices and plans may change from time to time, and the prices shown on our site at any moment are the ones that apply to new subscriptions.
Some plans start with a free trial. If you do not subscribe when the trial ends, we may suspend your account, which stops the service returning data. Paid plans are billed in advance through our payment provider, renew until cancelled. If Junction is not right for you, ask within 30 days of your first payment and we refund it in full; after that, payments are non-refundable except where the law requires or we say otherwise in writing. Prices are exclusive of taxes. Where we are required to charge Goods and Services Tax (GST) or any similar tax we will add it and issue a tax invoice; you are responsible for any other taxes, and if you are required by law to withhold tax from a payment you will give us the official certificate and pay us the remainder. We may change prices on 30 days’ notice, effective at your next renewal. If a payment fails we may suspend the service until it is paid. Amounts not paid when due carry interest at 1.5% per month (or the highest rate the law allows, if lower) from the due date until paid, and we may recover reasonable costs of collecting them.
8. Intellectual property
We and our licensors own the service, including its software, data models and design. We give you a limited, non-exclusive, non-transferable right to use it for your internal business while these terms apply. If you send us feedback, we may use it without obligation to you.
Infringement. We will defend you against a third-party claim that the service, as we provide it, infringes that party’s intellectual property rights, and pay the costs and damages a court finally awards or that we agree in a settlement. This does not cover claims that arise from your data, from combining the service with something we did not provide, from changes we did not make, from use in breach of these terms, or from free trials and early-access features. If the service is or may be found to infringe, we may modify it, obtain the right for you to keep using it, or end the affected part and refund the prepaid fees for the unused period.
9. Confidentiality
Each of us will keep the other’s non-public information confidential, use it only for this agreement, and protect it with reasonable care, except where disclosure is required by law. This does not apply to information that is public through no fault of the recipient.
10. Warranties and disclaimers
We will provide the service with reasonable care and skill. Beyond that, and to the fullest extent the law allows, the service is provided “as is” and “as available”, and we disclaim all other warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise the service will be uninterrupted or error-free, or that it will work with every version or configuration of a third-party system.
11. Limits of liability
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence. Subject to that: (a) we are not liable for any indirect or consequential loss, loss of profit, revenue, goodwill or data, or business interruption; and (b) our total liability arising from the service in any 12-month period is limited to the fees you paid us in that period (or, if you have paid nothing, to 100 US dollars).
12. Indemnity
Subject to the infringement cover in section 8, you will defend us against third-party claims arising from your breach of section 3, and from your use of the service in a way that infringes someone’s rights, and pay the resulting costs and damages we are ordered to pay or agree in a settlement you approve.
13. Suspension and termination
You may stop using the service and close your account at any time. We may suspend or end your access if you breach these terms, if your account is unpaid or the trial has ended, or if needed to protect the service or other customers; where practical we will tell you first, and we will restore access once the reason has been resolved. If we end your access for our own uncured material breach, or you close your account because we materially breached these terms and did not fix it within 30 days of your written notice, we will refund the prepaid fees for the period after that date. On termination we will stop reading your systems, delete your connection credentials and handle your account data as set out in section 4 and the privacy policy. Sections that by nature should survive (including 5, 6, 8 to 12, 15 and 16) do.
14. Changes
We may update these terms. For material changes we will give at least 30 days’ notice by email or in the portal. If you keep using the service after the change takes effect you accept it; if you do not agree, you may close your account before then and we will refund any prepaid fees for the period after the change takes effect.
15. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them or the service (including non-contractual disputes), are governed by the laws of India, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Talk first. If a dispute arises, the party raising it will give the other written notice describing it, and both will try in good faith to resolve it within 30 days.
Arbitration. A dispute not resolved in that time will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 (as amended or re-enacted). The seat and venue of arbitration is Bengaluru, Karnataka. The language is English. There will be a sole arbitrator, appointed by agreement of the parties or, failing agreement within 30 days of a request, as that Act provides. The award is final and binding, and may be enforced in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator orders otherwise. The arbitration and everything disclosed in it is confidential, except as needed to enforce or challenge the award or as the law requires.
Courts. Subject to the above, the courts at Bengaluru, Karnataka have exclusive jurisdiction over matters that cannot be arbitrated, over applications for interim measures, and over the enforcement or challenge of an award. Either party may seek urgent injunctive relief to protect its intellectual property or confidential information from any court of competent jurisdiction.
If you are outside India, you agree that this clause is a reasonable choice of law and forum for a business-to-business service. Nothing here removes any right that cannot lawfully be excluded by agreement.
16. General
These terms, with the privacy policy and any order or data processing terms we sign with you, are the whole agreement and replace earlier discussions. If a signed order form conflicts with these terms, the order form applies to that point. Terms printed on a purchase order or other document of yours do not apply, even if we process it. If a part is unenforceable, the rest continues. You may not assign them without our consent; we may assign them as part of a merger, reconstitution or sale of the business. A failure to enforce a right is not a waiver. Neither of us is liable for delay or failure caused by events beyond our reasonable control. We may give you notices by email or in the portal, and you may give us notices at the address below. These terms are made in electronic form and need no physical or digital signature to be binding on acceptance.
